The Company Directors (Duties) Bill strengthens the legal responsibilities that company directors must follow when running UK businesses. It updates and clarifies existing duties around areas such as acting in good faith, avoiding conflicts of interest, and considering stakeholder interests beyond just shareholder profit. The bill aims to modernise director accountability to reflect contemporary business practices, including environmental, social, and governance (ESG) considerations. It may introduce new reporting requirements and increase personal liability for directors who breach their duties.
